Authoring Minds recognizes that clients entrust us with sensitive business information, proprietary materials, documentation assets, training content, intellectual property, and strategic information.

We are committed to maintaining the confidentiality of all information entrusted to us.

2. Definition of Confidential Information

Confidential Information includes, but is not limited to:

  • Technical documentation

  • Product documentation

  • Software specifications

  • API documentation

  • Source materials

  • Internal processes

  • Training materials

  • Financial information

  • Customer information

  • Trade secrets

  • Research and development information

  • Intellectual property

  • Proprietary methodologies

Information shall be considered confidential whether disclosed verbally, electronically, visually, or in writing.

  • Use confidential information only for the intended business purpose.

All employees, consultants, contractors, and subcontractors who may access confidential information are required to:

  • Follow security procedures.

  • Report suspected security incidents immediately.

5. Non-Disclosure

Authoring Minds shall not disclose confidential information to any third party unless:

  • Written permission has been obtained from the client;

  • Disclosure is required by law;

  • Disclosure is necessary to approved service providers operating under confidentiality obligations.

We employ reasonable safeguards including:

  • Employee confidentiality commitments

7. Intellectual Property Protection

All client intellectual property remains the sole property of the client unless otherwise agreed in writing.

Engagement with Authoring Minds does not transfer ownership rights to any client materials.

8. Return or Destruction of Information

Upon request or completion of services, Authoring Minds may:

  • Return client materials;

  • Securely destroy confidential information where legally permissible;

  • Retain only information required for legal, regulatory, or contractual purposes.

9. Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of Authoring Minds;

  • Was lawfully obtained from another source;

  • Was independently developed without use of confidential information;

  • Must be disclosed under legal or regulatory requirements.

10. Breach Notification

In the event of a known unauthorized disclosure of confidential information, Authoring Minds will make reasonable efforts to notify affected clients promptly and take appropriate remedial measures.

11. Duration

Confidentiality obligations survive the completion or termination of services and remain in effect for as long as the information remains confidential under applicable law.
